Terms of Service

These Terms of Service (“Terms”) govern your use of NativeDiagram, including the website, the dashboard, the MCP server and any related APIs (together, the “Service”). The Service is operated by [LEGAL NAME] (“we”, “us”). By creating an account or using the Service, you agree to these Terms.
1. Eligibility and accounts
- You must be at least 18 years old, or the age of legal majority where you live, to use the Service.
- If you use the Service on behalf of an organization, you confirm you are authorized to accept these Terms for it.
- You are responsible for your account credentials, the AI assistants you connect, and any API keys you create. Keep API keys secret and revoke any key you believe is exposed. You are responsible for activity carried out with your account, connections and keys.
2. The Service
NativeDiagram turns structured content sent by an AI assistant or API client into Microsoft Office documents containing native SmartArt diagrams. To use it, you connect a third-party AI assistant or client (for example Claude, ChatGPT, Codex, Cursor or Gemini). Those products are provided by their own companies under their own terms; we do not control them and are not responsible for how they interpret your requests or what they send to the Service.
Generated files are designed for Microsoft Office. Other applications may display diagrams differently or without SmartArt editing. Previews shown in chat are approximations. Features, supported layouts and templates may change over time.
3. Your content
- You keep all rights to the content you or your AI assistant send to the Service (“Input”) and to the diagrams generated from it (“Output”).
- You grant us a limited licence to host, process and store Input and Output only as needed to operate, secure and support the Service for you.
- You confirm you have the rights needed to submit your Input and that it does not violate any law or third-party rights. Do not submit special categories of personal data or information you are not permitted to share.
- We do not sell your content and do not use it to train machine-learning models.
4. Our templates and software
The Service, its software, template designs and branding belong to us or our licensors. You may use, edit and distribute diagrams you generate, including the template designs they contain, for any lawful personal or commercial purpose. You may not copy, extract or redistribute the templates as a template collection or use the Service to build a competing template library or diagram service.
5. Acceptable use
You agree not to:
- use the Service for unlawful, infringing, deceptive, hateful or harmful content;
- probe, disrupt or overload the Service, bypass usage limits, or access it through automated means other than a supported MCP or API client;
- share, resell or sublicense access to your account or API keys;
- reverse engineer the Service except where the law expressly permits it.
We may suspend or limit access that breaches these Terms or threatens the Service or other users.
6. Plans, billing and renewals
- The Service uses credits: one successful diagram render costs one credit. Failed renders do not. Each plan includes a monthly credit allowance, described on our pricing page. Unused monthly credits do not roll over. Extra credits purchased separately do not expire and are used after the monthly allowance.
- Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders and provides customer service inquiries and handles returns. Purchases are also subject to Paddle’s Buyer Terms.
- Paid subscriptions renew automatically at the end of each billing period until cancelled. You can cancel at any time from the Billing page; your plan remains active until the end of the current period.
- Prices exclude taxes, which Paddle calculates at checkout. We may change prices with at least 30 days’ notice before your next renewal.
- Refunds are described in our Refund Policy.
7. Availability and changes
We work to keep the Service available but do not guarantee it will be uninterrupted or error-free, and we do not offer a service-level agreement. We may modify or discontinue parts of the Service. If we discontinue a paid Service entirely, we will refund any prepaid amount for the unused period.
8. Termination
You may stop using the Service and request deletion of your account at any time by contacting us. We may suspend or terminate your account if you materially breach these Terms, if required by law, or if your account has been inactive on the free plan for more than 24 months, with notice where reasonably possible.
9. Disclaimers
To the extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, including fitness for a particular purpose. You are responsible for reviewing generated diagrams before relying on or publishing them.
10. Limitation of liability
To the extent permitted by law, we are not liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, data or goodwill. Our total liability for any claim relating to the Service is limited to the greater of the amounts you paid for the Service in the 12 months before the claim and USD 50. Nothing in these Terms limits liability that cannot be limited by law.
11. Governing law
These Terms are governed by the laws of [GOVERNING LAW], without regard to conflict-of-law rules. If you are a consumer, you also keep any mandatory protections of the country where you live.
12. Changes to these Terms
We may update these Terms. For material changes we will notify you by email or in the dashboard at least 14 days before they take effect. Continuing to use the Service after that date means you accept the updated Terms.
